Pre-release. Purceivo is in development and not yet offered to the public. This document is published in draft for review. It becomes binding when the service becomes generally available and the provider entity is formed. It is not legal advice, and it has not yet been reviewed by counsel.

Who this agreement is with

These Terms are an agreement between Purceivo LLC (in formation) ("Purceivo", "we", "us") and the organisation that opens an account ("you", "your firm"). The individual who accepts these Terms represents that they are authorised to bind that organisation.

Purceivo is a business-to-business service. It is not offered to consumers, and it is not intended for anyone under 18. By using it you confirm you are acting on behalf of a business or other organisation.

What Purceivo is

Purceivo ingests public and, where you supply access, private solicitations; scores each one against the structured profile your firm provides; and presents the ones that clear a relevance threshold, each with a written rationale. It keeps a record of what it set aside and why, and that record is inspectable by you.

Solicitation
An RFP, RFQ, IFB, IDIQ notice, amendment or comparable procurement document ingested from a source.
Firm profile
The structured description of your firm you supply (capabilities, past performance, geography, contract value window, hard exclusions and similar) against which solicitations are judged.
Surfaced / withheld
A solicitation that cleared your relevance floor and appears on your board, versus one that did not and appears only in the withheld record.
Firm memory
Signals your firm supplies over time (pursued, won, lost, and durable reasons for declining), which inform later scoring for your firm only.

What Purceivo does not promise

This section is deliberately first among the substantive ones, because a service built on withholding has to be honest about the consequence of withholding.

Purceivo is a filter over procurement data. It is no system of record, and it will miss things. The authoritative source for any solicitation is the issuing authority, and checking it remains your responsibility.

Coverage is not exhaustive.

We ingest from the sources listed in our documentation at any given time. We do not claim to see every solicitation issued anywhere, and source coverage may change, lapse or fail without notice. A solicitation never ingested cannot be surfaced or withheld. It is simply absent, and our interface will tell you so when you look it up.

Withholding is the product, and it can be wrong.

The service is designed to suppress the large majority of what it reads. That is the point of it. It follows that it may suppress something your firm would have wanted to see. You can inspect the withheld record, override any withheld verdict, and have the item re-scored on demand. Even so, the possibility of a wrong withholding is inherent in the design.

No outcome is promised.

Nothing in the service is a prediction that your firm will win, should bid, or is eligible to bid. Relevance scores and rationales are editorial judgements about fit. They make no determination of responsibility, responsiveness, eligibility, set-aside qualification, or compliance with any solicitation's requirements.

It is not advice.

Purceivo does not provide legal, procurement, accounting or bid advice. Deadlines, ceilings, set-aside designations, contract vehicles and amendment histories shown in the product are extracted from source documents and may be incomplete, stale or wrong. Verify anything you intend to act on against the issuing authority's own posting before you act on it.

Machine judgement, and your review of it

Relevance scores, rationales, summaries and requirement extracts are produced by a large language model operated by a third-party provider (see Subprocessors). To produce them, the content of a solicitation and your firm profile, including your firm memory, are transmitted to that provider.

Model output can be wrong, and can be confidently wrong. It can misread a ceiling, miss an exclusion, or write a persuasive rationale for a poor match. Every rationale is presented so you can argue with it; that framing is not decorative. Do not treat any output as verified fact.

You control the relevance floor for your firm, and you may change it. Raising it withholds more; lowering it surfaces more. Neither setting makes the underlying judgement authoritative.

Accounts, firms and seats

An account belongs to a firm, and individuals hold seats in it. The firm profile, the curated board, comments, the bid ledger and the withheld record are shared by everyone with a seat. A colleague's triage decision is visible to the rest of the firm by design.

Seats carry roles (owner, admin, member) with different powers. Owners and admins can invite and remove people, change the firm profile, and see firm-level settings. You are responsible for who you invite, for what they do with their seat, and for removing seats promptly when someone leaves your firm.

You are responsible for keeping credentials confidential, for the security of any API keys you generate, and for all activity under your account. Tell us promptly at security@purceivo.com if you believe an account or key has been compromised.

Account information you give us must be accurate. A firm profile that misdescribes your firm will produce bad judgements, and that is not a defect we can fix on your behalf.

Your content and your firm profile

You keep ownership of everything you put into Purceivo: your firm profile, comments, triage decisions, bid outcomes and any documents you supply. We claim no ownership of it.

You grant us a limited, non-exclusive licence to host, copy, transmit, display and process that content solely to operate the service for your firm, which includes transmitting it to the subprocessors listed in our Subprocessor list for that same purpose. This licence exists so we can run the product, and ends when the content is deleted.

You confirm you have the rights to supply what you supply. If you put a third party's confidential document into the service, you are representing that you are permitted to.

We do not sell your data, and we do not use one firm's data, profile or memory to score solicitations for another firm. Firm memory is scoped to the firm that created it.

We may use aggregated, de-identified operational statistics (volumes, latencies, error rates, model spend) to run and improve the service. Such statistics never contain your firm profile, your content, or anything identifying your firm.

Our intellectual property

The service, its interface, its scoring approach, its prompts and its documentation are ours, and nothing in these Terms transfers them to you. You may use the output of the service for your firm's own bidding and business-development purposes, including internally and with your clients and teaming partners.

You may not resell, syndicate, or make available as a competing service the curated output (the surfaced set, the rationales, the withheld record), whether by export, API or scraping. Underlying public solicitation data is of course not ours and we assert nothing over it.

If you send us feedback or suggestions, we may use them without obligation or compensation. You are not required to send feedback.

Acceptable use

Your use of the service is subject to the Acceptable Use Policy, which is incorporated into these Terms. It is short, and it is written in plain terms about consequences.

Fees and billing

During the pre-release period the service is provided without charge and without any commitment to continue providing it.

When paid plans are introduced, pricing, billing periods, taxes, renewal and refund terms will be presented before you are asked to pay, and no existing account will be charged without agreeing to them first. Model spend is capped per firm. A run that would breach the cap stops cleanly and spends nothing further.

Availability and changes

We do not offer a service level agreement during the pre-release period, and you should not rely on the service for time-critical procurement deadlines. Ingest and scoring run on a schedule; a run can fail, be delayed, or stop early on reaching a spend cap.

We may add, change or remove features. If we make a change that materially reduces core functionality for a paying firm, we will give reasonable advance notice by email to account administrators.

Suspension, termination and what happens to your data

You may stop using the service at any time. A firm owner can close the firm from the settings page; this requires typing the firm's exact name and then genuinely deletes the firm's records: profile, board, curation results, comments, bid ledger, invitations and seats. It is not reversible, and we do not retain a shadow copy for our own use.

Before closing, an administrator can export the firm's data as JSON from the settings page. Export it first if you want it.

We may suspend or terminate an account that breaches these Terms or the Acceptable Use Policy, that creates a security or legal risk, or that we are required to suspend by law. Where circumstances allow, we will say why and give an opportunity to cure.

Backups and system logs may persist for a limited period after deletion; see the Privacy Policy for retention detail.

Disclaimer of warranties

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the service will be uninterrupted, timely, secure or error-free; that scores, rationales, extracted requirements, deadlines or amounts will be accurate or complete; or that the corpus contains any particular solicitation.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost bids, lost contract awards, or the cost of substitute services, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the service will not exceed the greater of (a) the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).

Nothing here limits liability that cannot be limited by law, including for fraud or wilful misconduct. Some jurisdictions do not allow certain limitations, in which case the limitations above apply to the maximum extent permitted.

Indemnification

You will defend and indemnify us against third-party claims arising from content you supply to the service that you did not have the right to supply, from your breach of these Terms or the Acceptable Use Policy, or from your use of the service in violation of law. We will notify you promptly of any such claim and let you control the defence, provided any settlement that admits fault on our part needs our agreement.

Governing law and disputes

These Terms are governed by the laws of [ state, on formation ], United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [ county, state ].

Before filing anything, the parties will try in good faith to resolve the dispute by writing to each other and talking about it for thirty days. This is not a formality we intend to skip.

Changes to these terms

We may update these Terms. The version, publication date and effective date sit at the top of this document, and material changes will be notified by email to account administrators before they take effect. Continuing to use the service after a change takes effect means you accept the updated Terms; if you do not, close the account.

General

Entire agreement. These Terms, together with the Acceptable Use Policy and Privacy Policy, are the whole agreement about the service and replace any earlier understanding about it.

Severability. If a provision is unenforceable, the rest stays in force and the unenforceable provision is narrowed to the minimum extent needed to make it enforceable.

No waiver. Not enforcing a provision once is not a waiver of it.

Assignment. You may not assign these Terms without our written consent, except to a successor of your business. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.

Notices. We give notice by email to account administrators or by posting in the product. You give notice to legal@purceivo.com.

Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, including the failure or withdrawal of an upstream data source or model provider.
